These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the muskokaeats.ca website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and True North Digital Network Inc. (“True North Digital Network Inc.”, “we”, “us” or “our”), the parent operator of Muskoka Eats.

If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement. If you do not agree with the terms of this Agreement, you must not accept this Agreement and may not use the Website and Services. By accessing and using the Website, you acknowledge that you have read, understood, and agree to be bound by the terms of this contract.

1. Age Requirement

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement, you warrant and represent that you are at least 18 years of age.

2. Accuracy of Directory Information

Occasionally, information on the Website may contain typographical errors, inaccuracies, or omissions relating to restaurant descriptions, addresses, menus, pricing, or operational hours. Because our directory structure is compiled from public third-party sources, we reserve the right to correct any errors or inaccuracies and to change or update information at any time without prior notice. We undertake no obligation to update, amend, or clarify directory listings except as required by law.

3. Third-Party Services and Links

Our listings integrate and link to third-party assets, specifically Google Maps and Google Business Profile data. Your access and use of those external services are governed solely by the terms and conditions of those platforms. True North Digital Network Inc. does not endorse, is not responsible or liable for, and makes no representations as to any aspect of such third-party services, including their handling of data or compliance. You irrevocably waive any claim against True North Digital Network Inc. with respect to these third-party resources.

4. Prohibited Uses

In addition to other terms as set forth in the Agreement, you are prohibited from using the Website, its Services, or its compiled directory Content:

(a) for any unlawful purpose;

(b) to violate any international, federal, provincial, or local regulations, rules, or laws;

(c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others;

(d) to submit false, misleading, or fraudulent information;

(e) to upload or transmit viruses, malware, or malicious code that could affect site functionality;

(f) to spam, phish, pharm, pretext, spider, crawl, or scrape the website for directory listings, data mining, or commercial compilation without our express written consent;

(g) to interfere with or circumvent the security features of the Website, its hosting infrastructure, or the Internet.

We reserve the right to terminate or block your use of the Website and Services for violating any of these prohibited uses.

5. Intellectual Property Rights

This Agreement does not transfer to you any intellectual property owned by True North Digital Network Inc. or third parties. All rights, titles, and interests in the underlying code, design, branding, and proprietary assets of MuskokaEats.ca remain solely with True North Digital Network Inc.

Third-party business names, logos, trademarks, and menu data displayed on the directory are the intellectual property of their respective owners, used here strictly for informational indexing and identification purposes under fair dealing provisions. Your use of the Website grants you no right or license to reproduce or otherwise use any True North Digital Network Inc. or third-party trademarks.

6. Disclaimer of Warranty

You agree that the Service is provided on an “as is” and “as available” basis and that your use of the Website is solely at your own risk. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranty that the directory listings will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error-free; nor do we make any warranty as to the absolute accuracy or reliability of any public information obtained through the Service.

7. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will True North Digital Network Inc., its affiliates, directors, officers, employees, or agents be liable to any person for any indirect, incidental, special, punitive, or consequential damages (including, without limitation, damages for lost profits, revenue, travel expenses, commercial disappointment, or business interruption) however caused, under any theory of liability, even if we have been advised as to the possibility of such damages.

To the maximum extent permitted by applicable law, the aggregate liability of True North Digital Network Inc. relating to the services will be limited to an amount no greater than one Canadian dollar ($1.00 CAD).

8. Indemnification

You agree to indemnify and hold True North Digital Network Inc. and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages, or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations, claims, actions, or demands asserted against them as a result of your misuse of the Website, your willful misconduct, or your violation of these terms.

9. Severability

If any provision or portion of any provision of this Agreement is held to be illegal, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions or portions thereof shall remain in full force and effect.

10. Dispute Resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the laws of Ontario, Canada, and the federal laws of Canada applicable therein. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Ontario, Canada, and you hereby submit to the personal jurisdiction of such courts.

11. Changes and Amendments

We reserve the right to modify this Agreement or its terms related to the Website at any time at our discretion. When we do, we will update the date at the top of this page. An updated version of this Agreement will be effective immediately upon posting. Your continued use of the Website after the effective date constitutes your consent to those changes.

12. Acceptance of These Terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services, you agree to be bound by this Agreement. If you do not agree to abide by these terms, you are not authorized to access or use MuskokaEats.ca.
